Calphant Terms of Service

These terms are an agreement between you and calphant app LTD, a company registered in England and Wales ("Calphant", "we", "us"). By creating an account or using Calphant you agree to them. If you use Calphant for a company or organisation, you agree on its behalf and confirm you are allowed to.
1. What Calphant is
Calphant turns an idea into a company run by AI employees. You talk with Steve, your AI co-founder, agree a plan, and AI employees carry out the work: writing code and documents, researching, publishing your company's website, and using the services and websites you connect.
Steve and the employees are AI, not people. They act only inside limits. Anything that spends money, and your own sign-ins to other services, always needs you. Every action is written to a permanent record you can read in the product.
AI makes mistakes. You are responsible for checking work before you rely on it, and for the instructions you give.
2. Your account
You must be at least 18 and give accurate details when you sign up. Keep your sign-in secure. You are responsible for everything done under your account, including by the AI employees acting on your instructions.
3. The plan and payment
Starting work needs a subscription. There is one plan: US$500 a month, paid in advance through Stripe. There is no free trial. Talking with Steve before you subscribe is free, up to a usage allowance. Prices exclude VAT, which we add where it applies.
Each paid month includes an allowance of AI work. When it is used up, work waits until your next payment renews it.
If a payment fails, work carries on for three days while the payment is retried, then pauses until it is paid.
You can cancel at any time from Spending, then Manage billing. When you cancel, your subscription ends at the end of the month you have already paid for, and work can continue until then. Payments are not refundable, except as described below or where the law requires.
We may change the price with at least 30 days' notice by email; the change applies from your first payment after the notice, and you can cancel before then.
4. If you are a consumer
Calphant is made for businesses. If you use it as a consumer, meaning for purposes outside your trade, business or profession, you have legal rights under the Consumer Rights Act 2015 that these terms do not affect. You may also cancel within 14 days of subscribing and receive a refund. If you asked us to start work during those 14 days, we may keep an amount in proportion to the service already provided.
5. Your content and your connected accounts
You own what you bring to Calphant and what your AI employees make for you. You give us permission to store, process and send it as needed to run Calphant for you, including sending it to the AI providers and services listed in our Privacy Policy.
You also give us a worldwide, non-exclusive, royalty-free licence, which continues after your account ends, to use your content and the work your AI employees make for you to train and improve AI models, including models Calphant builds, and to improve Calphant. You keep ownership of it. We never train on your keys, passwords, website sign-ins or payment details, on data we receive through Google APIs, or on data from any connected service whose terms do not allow it. When you connect a service (for example email, GitHub or Slack), or keep a sign-in to a website for your employees to use, you confirm you are allowed to, and you authorise your AI employees to use it on your instructions. We store keys and sign-ins encrypted and never show them to the employees. You can disconnect a service or forget a sign-in at any time.
When your employees publish your company's website at an address Calphant provides, you are responsible for what it says, and we may take it down if it breaks these terms.
6. What you may not do
You may not use Calphant to:
- break any law, or help anyone else do so;
- send messages to people who have not agreed to hear from you, or send spam;
- harass, deceive or impersonate anyone, including by presenting your AI employees as people;
- create or spread malware, or attack or probe any system without permission;
- get around the limits, the checks or the billing of Calphant, or interfere with other customers;
- make decisions with legal or similarly significant effects on people without human review.
Your employees use websites and services on your behalf, and you are responsible for following those websites' and services' own terms. When a website asks for a human check, such as a puzzle or a two-step code, Calphant stops and hands the page to you; it never tries to get past the check itself.
We may pause work or suspend an account that does any of these things, and will tell you why unless the law or safety prevents it.
7. The service
We provide Calphant with reasonable care and skill, and we work to keep it available and your data safe. We cannot promise it will be uninterrupted or error free. We may change or remove features; if a change takes away something you pay for, we will tell you in advance and you can cancel.
8. Ending
You can close your company at any time. We may end or suspend your account if you seriously or repeatedly break these terms or do not pay. When an account ends, work stops, stored keys and sign-ins are deleted, and your access ends. What happens to your records is described in our Privacy Policy.
9. Liability
Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded under the law of England and Wales.
If you use Calphant for business, we are not liable for loss of profits, revenue, business, goodwill or data, or for any indirect or consequential loss, and our total liability to you arising from these terms or Calphant is limited to the amount you paid us in the 12 months before the claim.
If you are a consumer, we are responsible for loss you suffer that is a foreseeable result of our breaking these terms or failing to use reasonable care and skill, and we are not responsible for loss that was not foreseeable.
If you use Calphant for business, you will cover our reasonable losses and costs from a claim by someone else that arises from your content, your instructions, the services and websites you connect, or your breach of these terms.
10. Changes to these terms
We will tell you by email at least 30 days before a change that affects you takes effect. If you do not agree, you can cancel before then. If you keep using Calphant after that, the new terms apply.
11. General
These terms are the whole agreement between you and us about Calphant. If a court finds part of them invalid, the rest still applies. If we do not enforce a right straight away, we can still enforce it later. You may not transfer your rights under these terms without our agreement; we may transfer ours to a business that takes over Calphant, and will tell you if we do. No one else has any right to enforce these terms under the Contracts (Rights of Third Parties) Act 1999.
12. Law and disputes
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. If you are a consumer living in Scotland or Northern Ireland, you may also bring proceedings in your local courts.
